VILLIglas - General Terms and Conditions

1. General provisions
By placing an order, the customer shall recognize the following terms and conditions as being binding. Any other terms and conditions shall be binding only if we acknowledge them to be binding in express and written terms. This shall apply, in particular, to the customer's terms and conditions in respect of purchase and order to such extent as such terms and conditions contradict our Terms and Conditions or exclude individual provisions hereof.

Our offers shall be non-binding and subject to change unless the offer contains provisions to the contrary.

No cancellations or modifications requested by the customer will be accepted by VILLIglas Vertriebs GmbH if received more than 4 days after the date of issue of the order confirmation, which consequently becomes irrevocable. The full price will be charged for merchandise in production or prepared for delivery, unless we have agreed to the cancellation of the contract in writing.

2. Prices
Prices shall be quoted in euros ex works Sittersdorf or delivered free to Logistics Center F.lli Frascari in Castellarano/RE (I) and shall not include value-added tax. Our prices are based on current cost factors.

Orders below a minimum amount of EUR 100.00 shall be subject to a processing fee of EUR 20.00.

3. Shipping, term & time of delivery
Standard delivery time shall be 30 days from receipt of order. All products in stock will be shipped out within one week.

Delivery time shall be subject to the customer's supplying all necessary documents in a timely manner.

The customer may withdraw from the contract or claim damages in the event of delays in delivery.

Any interruptions of operations, particularly delays in the supply of raw materials, strikes, machine defects or force majeure as well as non-compliance with the terms of payment shall entitle us to extend the term of delivery. We reserve the right to make partial deliveries, which shall be deemed separate transactions.

4. Terms of payment
In the absence of any provisions to the contrary, payment of the amount invoiced shall be made within 30 days of the date of invoice without any deductions. In the event that payment is delayed past the due date, we shall be entitled to charge late-payment interest in the amount of 2% above the interest rate of the Central Bank. Bills of exchange shall be accepted only on the basis of a separate agreement, and all collection and discount charges shall be added to the invoice.

5. Retention of title
The products shipped to the customer shall remain our property until such time as the full price as agreed upon has been paid or the check or bill given in payment thereof has been cleared.

6. Complaints
Please check every shipment at delivery for completeness, workmanship, quality and measurements. Claims will only be accepted for defective products that are not installed. The claim must be made within 30 days after delivery. Late claims will be dismissed without exception.

7. Place of performance, jurisdiction
The place of performance for shipments and payments shall be Sittersdorf, Carinthia, Austria. Jurisdiction over any disputes arising herefrom shall lie with the regional court serving as the Commercial Court of Klagenfurt.

The contract shall be subject to Austrian law.
